Affiliate Program Terms & Conditions

Please read these Terms and Conditions carefully before participating in our Affiliate Program. By registering for and participating in the Program, you agree to be bound by these terms.

1. Definitions

“Affiliate” refers to any individual or company accepted into our Affiliate Program.
“Company,” “we,” “us,” or “our” refers to the operator of this Affiliate Program.
“Affiliate Link” refers to the unique tracking URL provided to each Affiliate.
“Commission” refers to the percentage of sales or fees earned by the Affiliate.
“Customer” refers to any person who makes a purchase through an Affiliate Link.

2. Program Enrollment

2.1 Eligibility

To participate in the Affiliate Program, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Comply with all applicable laws and regulations

2.2 Application and Approval

• All applications are subject to review and approval at our sole discretion
• We reserve the right to refuse any application without providing reasons
• Approval does not guarantee continued participation in the Program

2.3 Account Information

You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials confidential
• Notify us immediately of any unauthorized access to your account

3. Commission Structure

3.1 Commission Rates

Commissions vary by product and service category as follows:

• Commissions are earned only on completed, paid transactions
• Refunded, cancelled, or fraudulent transactions do not qualify for commission
• We reserve the right to modify commission rates with 30 days’ notice

3.3 Cookie Duration

• Affiliate cookies remain valid for 30 days from the initial click
• Last-click attribution model applies: the most recent affiliate link receives credit

4. Payment Terms

4.1 Payment Schedule

• Payments are processed monthly by the 15th of each month
• Payments cover commissions earned during the previous calendar month
• Example: January earnings are paid by February 15th

4.2 Minimum Payout Threshold

• The minimum payout amount is $100
• Balances below the threshold roll over to subsequent months
• No expiration applies to accumulated balances for active accounts

4.3 Payment Method

• All payments are made via bank transfer
• Affiliates must provide complete and accurate banking information
• Any fees charged by banks or intermediary institutions are the Affiliate’s responsibility

4.4 Required Documentation

Affiliates must provide upon request:

• Company registration documents
• Tax identification or VAT number
• Bank account details
• Monthly invoice for commission payments

4.5 Tax Responsibility

• Affiliates are solely responsible for all taxes related to commission earnings

5. Affiliate Obligations and Conduct

5.1 Permitted Promotional Methods

Affiliates may promote our products and services through:

• Personal websites and blogs
• Social media channels
• Email marketing to opted-in subscribers
• Content marketing and reviews
• Paid advertising (with prior approval)

5.2 Prohibited Activities

Affiliates must NOT:

• Use their own Affiliate Link to make purchases
• Encourage or enable others to use their link fraudulently
• Engage in cookie stuffing, auto-redirects, or hidden links
• Send unsolicited emails (spam)
• Make false, misleading, or exaggerated claims about our products/services
• Use our trademarked terms in domain names without permission
• Bid on our brand name or trademarked terms in paid search without authorization
• Impersonate our company or employees
• Use pop-ups, pop-unders, or exit-intent overlays on landing pages
• Promote content that is illegal, defamatory, obscene, or discriminatory
• Violate any applicable laws, regulations, or third-party rights

5.3 Brand Usage

• Affiliates may use our provided marketing materials and logos
• All use must comply with our brand guidelines
• Modifications to marketing materials require prior written approval
• We may revoke permission to use our brand assets at any time

5.4 Disclosure Requirements

• Affiliates must clearly disclose their affiliate relationship according to FTC guidelines
• Disclosure must be clear, conspicuous, and unambiguous
• Non-compliance may result in immediate termination

6. Intellectual Property

6.1 Our Rights

• We retain all rights to our trademarks, logos, and copyrighted materials
• Affiliates receive a limited, non-exclusive, revocable license to use approved materials
• This license terminates immediately upon program termination

6.2 Restrictions

• Affiliates may not create derivative works of our intellectual property
• Affiliates may not register domain names containing our trademarks
• Affiliates may not register social media handles implying official affiliation

7. Termination

7.1 Termination by Either Party

• Either party may terminate participation with 30 days’ written notice
• Termination does not affect commissions earned prior to termination date

7.2 Immediate Termination by Us

We reserve the right to immediately terminate your account for:

• Violation of these Terms and Conditions
• Fraudulent or deceptive practices
• Spam or illegal activities
• Misrepresentation of our products or company
• Failure to provide required documentation
• Inactivity for more than 12 consecutive months

7.3 Effects of Termination

Upon termination:

• Your Affiliate Link will be deactivated
• You must immediately cease all promotional activities
• You must remove all our marketing materials and branding
• Outstanding commissions above the minimum threshold will be paid within 60 days
• We reserve the right to withhold payment if termination was due to violation of terms

8. Tracking and Reporting

8.1 Tracking System

• We use industry-standard tracking technology to monitor referrals
• You accept our tracking system as the final authority on commissions
• Technical issues may occasionally affect tracking; we are not liable for lost tracking

8.2 Reporting

• Affiliates have access to real-time reporting through the dashboard under the My Account section of this website
• Reports are provided for informational purposes and may contain delays
• We reserve the right to investigate and reverse suspicious transactions

9. Limitation of Liability

9.1 No Guarantees

• We make no guarantees regarding potential earnings
• Past performance does not guarantee future results
• Success depends on individual effort and market conditions

9.2 Limitation

• Our total liability shall not exceed the commissions owed to you
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for technical failures, service interruptions, or data loss

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your breach of these Affiliate Program Terms and Conditions
• Your promotional activities
• Your violation of any laws or third-party rights
• Any misrepresentation made by you

11. Confidentiality

11.1 Confidential Information

• User-level commission rates, if any, payment details, and program performance are confidential
• Affiliates may not disclose confidential information without prior written consent
• This obligation survives termination of the agreement

12. Modifications

12.1 Changes to Terms

• We reserve the right to modify these Terms at any time
• Material changes will be communicated with 30 days’ notice
• Continued participation constitutes acceptance of modified terms

12.2 Changes to Program

• We may modify commission rates, products, or program structure
• Significant changes will be communicated in advance when possible
• We are not liable for changes that affect your earnings

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Romania, without regard to conflict of law provisions.

13.2 Resolution Process

• Any disputes should first be addressed through good-faith negotiation
• If unresolved, disputes may be subject to binding arbitration
• Each party bears their own costs unless otherwise awarded

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Affiliate Program.

14.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full effect.

14.3 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

14.4 Independent Contractors

Affiliates are independent contractors. Nothing creates an employment, partnership, or agency relationship.

14.5 Assignment

You may not assign or transfer your rights under these Terms without our written consent.
