    EN: Both parties bind to the present WEB DEVELOPMENT AGREEMENT under the following terms and conditions:

    RO: Ambele părțile sunt legate prin acest CONTRACT DE PRESTARE SERVICII DE DEZVOLTARE WEB conform urmatorilor termeni și condiții:

    1. EN: OBJECTIVE

    The Developer agrees to provide web development services (known forth as Work) for the Client as per the Client’s requirements and according to the needs of the Client, which will be passed on to the Developer as Tasks, using email or a task management system, and provide the Client with code, known forth as Deliverables.

    1. RO: OBIECTIVUL

    Programatorul este de acord să furnizeze servicii de PRESTARE SERVICII DE DEZVOLTARE WEB (recunoscute mai departe ca și activitate profesională) pentru și în funcție de nevoile clientului, care vor fi transmise Programatorului ca reprezentând Task-uri, prin e-mail sau printr-un sistem de management al activității, și să ofere Clientului codare, recunoscută mai departe ca și Produs Final.

    1. EN: ENGAGEMENTS OF THE DEVELOPER

    The Developer agrees to provide the Client with the following:

    • development of web sites and web or mobile applications from the ground up
    • maintenance and/or extension of existing web or mobile applications
    • provide clean, valid, working code
    • adhere to agreed deadlines
    • send deliverables in working order
    • offer hosting solutions if needed, which are subject to separate prices, listed on the Developer’s website.
    • offer support for issued Deliverables and provide reasonable help for the Client in using the resulted Deliverables, by email or a task management or ticketing system
    • keep open communication with the Client by email or a task management or ticketing system

    1. RO: OBLIGAȚIILE PROGRAMATORULUI 

      Programatorul este de acord să furnizeze următoarele:

    • PRESTARE SERVICII DE DEZVOLTARE WEB și aplicații web sau pentru mobil de la zero
    • mentenanță și / sau dezvoltarea  aplicațiilor web sau mobile existente
    • să furnizeze codare corectă, validă și funcțională
    • să respecte termenele limită convenite
    • să trimită produsele finale în stare de funcționare
    • să ofere solutii de găzduire, dacă sunt necesare și care au  prețuri diferite, enumerate pe site-ul programatorului.
    • să ofere suport pentru Produsele finale rezultate și să ofere ajutor rezonabil Clientului în utilizarea acestora, prin e-mail sau prin managementul activității sau printr-un sistem de ticketing
    • să păstreze o comunicare deschisă cu Clientul prin e-mail sau prin managementul activității sau printr-un sistem de ticketing
    1. EN: ENGAGEMENTS OF THE CLIENT

    The Client agrees to provide the Developer with the following:

    • all information needed to carry out Work
    • all access to third party services needed to carry out work
    • detailed and clear instructions (Tasks) passed on using email or a project management system.
    • adhere to agreed payment schedules
    • keep open communication with the Developer
    1. RO: OBLIGAȚIILE CLIENTULUI

    Clientul acceptă să furnizeze Programatorului următoarele:

    • toate informațiile necesare pentru a efectua lucrarea
    • accesul complet al serviciilor terțelor părți pentru a efectua lucrarea
    • instrucțiuni detaliate și precise (Tasks) transmise prin e-mail sau printr-un sistem al managementului de proiect.
    • să adere la programele de plată convenite
    • să păstreze o comunicare deschisă cu Programatorul
    1. EN: TIME EXTENT

    This WEB DEVELOPMENT AGREEMENT is valid for a period of 12 months from it’s signing date. Failure to communicate changes or a termination notice by any or the parties by email after it’s expiration date automatically extends the WEB DEVELOPMENT AGREEMENT for an undefined period of time, until such notice is provided.

    1. RO: PERIOADA CONTRACTUALA

    Acest CONTRACT DE PRESTARE SERVICII DE DEZVOLTARE WEB este valabil pentru o perioada de 12 luni de la semnarea lui. Imposibilitatea de a comunica modificările care au loc sau o notificare de reziliere de către oricare dintre părțile implicate, prin e-mail, face ca data de expirare să prelungească automat CONTRACTUL de PRESTARE SERVICII DE DEZVOLTARE WEB pentru o perioadă nedeterminată, până când o astfel de notificare este prevăzută.

    1. EN: PRICING & PAYMENT

    5.1 Work is measured in fixed amounts (fixed price projects or milestones) or Hours and is subject to payment. The money equivalent of one Worked hour is 79 USD / Hour (United States Dollar) per Hour. The value of the Hour, or the fixed ammounts per project or milestone, is to be mutually agreed between the two parties and communicated by voice chat or email conversations and reflected in the invoices the Developer issues towards the Client, and the Client approves the value by paying the invoice and signing Confirmation of Service letters associated to each invoice.

    5.2 Payments are to be done at the end of each calendar week.

    5.3 Payments are to be made in to the Developer’s PayPal or Bank accounts stated on the invoice

    5.4 The Developer will issue an invoice for the Client, each invoice reflecting a payment made, or to be made by the Client. By paying the invoice, the Client agrees to the amounts in USD stated on them, in compliance with point 5.1. of this document.

    1. RO: PREȚURI ȘI PLATĂ

    5.1 Munca desfășurată se măsoară în sume fixe (proiecte cu preț fix sau etape ale proiectului) sau în ore și este condiționată de plată. Prețul unei ore lucrate este de 79 USD / Hour (Dolari Americani) pe oră. Valoarea unei ore sau sumele fixe ale proiectului/etapelor proiectului, sunt stabilite de comun acord între cele două părți și comunicate prin voice chat sau e-mail și prezentate în facturile emise Clientului de către Programator, Clientul acceptând valoarea acestora prin achitarea facturii.

    5.2 Plățile se efectuează la sfârșitul fiecărei săptămâni calendaristice, daca părțile au acceptat un program de plată săptămânal.

    5.3 Plățile se efectuează către unul dintre conturile bancare ale  Programatorului sau în contul PayPal, mentionate pe factura

    5.4 Programatorul va emite o factură pentru Client, fiecare factură reflectând o plată efectuată sau care urmează să fie efectuată de către Client. Prin achitarea facturii, Clientul este de acord cu sumele în dolari indicate pe factură, în conformitate cu punctul 5.1. al acestui document.

    6.EN: EXECUTING WORK

    The Developer will consider certain aspects when executing Work:

    • maintain a high lever of professionalism
    • inform the Client of the progress of Work on a regular basis
    • test it’s own Work and fix or improve functionality
    • comply with the Client’s demands and standards in executin of Work
    • not outsource Work to any other third parties in foreign countries, and only use providers or employees local to Romania to help out in executing the Work
    1. RO: EXECUTAREA MUNCII

    Programatorul va lua în considerare anumite aspecte la executarea lucrului:

    • menține un nivel ridicat de profesionalism
    • informează Clientul asupra progresului lucrării în mod regulat
    • testează propria muncă, o repară sau îi îmbunătățește funcționalitatea
    • se conformează cu cerințele și standardele clientului în desfășurarea lucrării
    • nu externalizează lucrările către terțe părți, în țări străine, și colaborează numai cu furnizori sau angajați locali, respectiv din România, pentru a ajuta la executarea lucrării.
    1. EN: RESPONSIBILITY IN THE CASE OF NOT RESPECTING THIS AGREEMENT

    7.1 For any violation of point 2 of this agreement, the Developer will Work towards fixing any identified issues found within the Deliverable.

    7.2 If the Client does not comply to the payment terms stated at point 5.2, the Developer is entitled to demand a 0.5% penalty per day from the total value of the unpaid invoice.

    1. RO: RESPONSABILITATEA ÎN CAZUL NERESPECTĂRII ACESTUI CONTRACT

    7.1 Pentru orice încălcare a punctului 2 din prezentul acord, Programatorul va acționa în direcția remedierii oricărei probleme identificate asupra Produselor finale.

    7.2 În cazul în care Clientul nu respectă termenii de plată prevăzuți la punctul 5.2, Programatorul are dreptul să perceapă o penalizare de 0,5% pe zi din valoarea totală a facturii neachitate.

    1. EN: TERMINATION

    8.1 This WEB DEVELOPMENT AGREEMENT may be terminated at any time, without having to pay any reparations, by any of the two parties, with a written notification sent with 15 work days before the desired termination date, but all putstanding monies will be paid out by the Client, and all undelivered Work covered by the outstanding ammount shall be delivered by the Developer.

    8.RO: REZILIEREA

    8.1 Acest CONTRACT de PRESTARE SERVICII DE DEZVOLTARE WEB poate fi întrerupt în orice moment, fără a plăti nici o despăgubire, de către nici una dintre cele două părți, cu o notificare scrisă, trimisă cu 15 de zile lucrătoare înainte de data rezilierii dorite.

    1. EN: PRIVACY

    9.1 Neither of the two parties will disclose the terms of this WEB DEVELOPMENT AGREEMENT to third parties without prior written consent from the other part, while this WEB DEVELOPMENT AGREEMENT is active, and for one year after it’s termination.

    9.2 The branding of the Client (the logo or a visual representation of the Deliverable) can be used by the Developer to showcase Work done for the Client, in it’s portfolio section on it’s website or social or marketplace accounts, such as upwork.com but not limited.

    9.4 The Developer with keep all the data and information of the Client, including and not limited to contact details, private and not share it with third parties.

    9.5 The Client may credit back the Developer by hosting a discrete link back to the Developer’s website (https://superwpheroes.io) in the footer section of it’s website.

    1. RO:  CONFIDENȚIALITATE

    9.1 Nici una dintre cele două părți nu va dezvălui termenii acestui contract de PRESTARE SERVICII DE DEZVOLTARE WEB unor terți, fără acordul prealabil scris al celeilalte părți implicate, atâta timp cât acest acord de PRESTARE SERVICII DE DEZVOLTARE WEB este activ, și pe durata unui an de la încetarea sa.

    9.2 Brandingul clientului (logo-ul sau o reprezentare vizuală a produsului final) poate fi utilizat de către Programator pentru a prezenta lucrările realizate pentru Clienți, în portofoliul de pe e site-ul său sau pe conturi sociale sau piete online, cum ar fi upwork.com, nefiind limitat.

    9.4 Programatorul va păstra toate datele și informațiile Clientului, inclusiv detalii de contact, private și nu le va transmite terțelor părți.

    9.5. Clientul poate credita Programatorul, gazduindu-i un link discret către site-ul programatorului (https://superwpheroes.io), în partea de subsol a site-ului său.

    1. EN: NOTIFICATIONS

    All notifications associated with this WEB DEVELOPMENT AGREEMENT will be made in written form via email at support@superwpheroes.io.

    1. RO: NOTIFICĂRI

    Toate notificările asociate cu acest contract de PRESTARE SERVICII DE DEZVOLTARE WEB vor fi făcute în scris prin e-mail.

    1. EN: AMENDMENTS

    Any changes to this WEB DEVELOPMENT AGREEMENT will be made in written form and signed by both parties prior to taking effect.

    1. RO: RECTIFICĂRI

    Orice modificare adusă prezentului contract  de PRESTARE SERVICII DE DEZVOLTARE WEB se va face în scris și va fi semnat  de ambele părți, înainte de a intra în vigoare.

    1. EN: LEGAL SUCCESSION

    Legal successors, both of the Client and the Developer, will be entitled to rights and obligations coming forth from this WEB DEVELOPMENT AGREEMENT.

    1. RO: SUCCESIUNE LEGALĂ

    Succesorii legali, atât ai Clientului, cât și ai Programatorului le vor reveni drepturile și obligațiile, care provin din acest contract  de PRESTARE SERVICII DE DEZVOLTARE WEB.

    1. EN: APPLICABLE LAW

    Any aspects not covered by this WEB DEVELOPMENT AGREEMENT will be governed by the laws governing this activity in Romania.

    1. RO: LEGEA ÎN VIGOARE

    Orice aspecte care nu sunt reglementate de prezentul contract  de PRESTARE SERVICII DE DEZVOLTARE WEB, vor fi administrate de legile care guvernează această activitate în România.

    1. EN: DISPUTE RESOLUTION

    Both parties agree to solve any issues that may occur from this WEB DEVELOPMENT AGREEMENT by good will, taking the other parties justified interests into consideration. If such issues can not be solved by good will alone, they will be taken to the Court of Law.

    1. RO: SOLUȚIONAREA CONFLICTELOR

    Ambele părți sunt de acord să rezolve orice probleme care pot apărea asurpa acestui contract  de PRESTARE SERVICII DE DEZVOLTARE WEB de bunăvoie, luând în considerare interesele justificate ale celeilalte părțî. Dacă acestede probleme nu pot fi rezolvate prin bunăvoință, ele vor fi duse la Curtea de Justiție.

    EN:This WEB DEVELOPMENT AGREEMENT was written in English, in two copies, one for each party.

    RO:Acest contract de PRESTARE SERVICII DE DEZVOLTARE WEB a fost scris in Engleza, in doua exemplare, cate un exemplar pentru fiecare parte.
